1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Seafarers.Pro ("we," "our," or "us") governing your access to and use of the Seafarers.Pro maritime crew management platform, including all associated websites, applications, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
2. Definitions
Throughout these Terms, the following definitions apply:
"Account" means a registered user profile enabling access to the Service.
"Customer" means the entity or individual subscribing to the Service, including fleet operators, crewing agencies, and ship managers.
"Crew Data" means any information about seafarers entered, uploaded, or processed through the Service, including personal data, certificates, qualifications, and employment records.
"Content" means all data, documents, certificates, and materials uploaded, entered, or generated through the Service.
"Subscription Period" means the duration of your paid subscription to the Service.
"User" means any individual authorized by the Customer to access and use the Service, including administrators, fleet managers, and crewing officers.
"STCW" means the International Convention on Standards of Training, Certification and Watchkeeping for Seafarers.
"MLC" means the Maritime Labour Convention, 2006.
3. Service Description
Seafarers.Pro provides a cloud-based platform designed for maritime crew management, including but not limited to:
STCW compliance tracking and certificate management;
Visual roster planning and crew scheduling (Gantt-based);
Real-time alerts for certificate expirations, compliance deadlines, and roster changes;
Multi-vessel, multi-tenant fleet management capabilities;
Document storage and management for crew qualifications;
Reporting and analytics for fleet operations;
API access for integrations with third-party systems.
We reserve the right to modify, enhance, or discontinue features of the Service at any time. We will provide advance notice of material changes that materially reduce functionality.
4. Account Registration
To use the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.
You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized access to or use of your Account.
We reserve the right to suspend or terminate Accounts that provide false information, violate these Terms, or remain inactive for more than 24 months.
Users must be at least 16 years of age. By creating an Account, you represent and warrant that you meet this age requirement.
5. Subscription and Payment
Access to the Service is provided on a subscription basis. All fees are specified on our pricing page or in a separate written agreement.
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by applicable law or as expressly stated herein.
We may change subscription fees upon notice. Fee changes will take effect at the start of the next Subscription Period after the notice is provided.
You are responsible for all applicable taxes, duties, and governmental charges related to your subscription.
Failure to pay fees when due may result in suspension of access to the Service until payment is received.
6. User Responsibilities
You agree to use the Service in compliance with all applicable laws, regulations, and industry standards, including STCW and MLC 2006 requirements.
You are solely responsible for:
The accuracy, quality, and legality of all Content uploaded or entered into the Service;
Obtaining all necessary consents, authorizations, and permissions for processing Crew Data;
Ensuring that your use of the Service complies with data protection laws applicable in your jurisdiction;
Maintaining appropriate backup copies of your Content;
All activities that occur under your Account, regardless of whether authorized by you.
You must not:
Use the Service for any unlawful purpose or in violation of any applicable law;
Attempt to gain unauthorized access to the Service or related systems;
Interfere with or disrupt the integrity or performance of the Service;
Reverse engineer, decompile, or disassemble any aspect of the Service;
Remove, alter, or obscure any proprietary notices on the Service.
7. Data and Content
You retain all right, title, and interest in and to your Content. By uploading Content to the Service, you grant us a limited license to process, store, and display your Content solely for the purpose of providing the Service.
You represent and warrant that:
You have the right to upload and process all Content through the Service;
The Content does not violate any applicable law or infringe any third-party rights;
The processing of Crew Data complies with applicable data protection laws, including GDPR where applicable.
We implement industry-standard security measures to protect your Content. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security.
Upon termination of your Account, we will retain your Content for a period of 30 days to facilitate data export, after which it will be securely deleted in accordance with our data retention policy, except where longer retention is required by law.
8. Intellectual Property
All intellectual property rights in and to the Service, including software, designs, trademarks, logos, and documentation, are owned by Seafarers.Pro or its licensors. These Terms do not grant you any right, title, or interest in the Service or its content except for the limited right to use the Service as expressly permitted herein.
You may not use the Seafarers.Pro name, logo, or trademarks without our prior written consent.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or obligation to you.
9. Confidentiality
Each party agrees to maintain the confidentiality of all proprietary or confidential information disclosed by the other party ("Confidential Information"). Confidential Information includes, but is not limited to, technical data, trade secrets, business plans, customer data, and pricing information.
Confidential Information does not include information that:
Is or becomes publicly available through no breach of these Terms;
Was known to the receiving party prior to disclosure;
Is independently developed without use of the disclosing party's Confidential Information;
Is required to be disclosed by law or court order.
This confidentiality obligation survives termination of these Terms for a period of three (3) years.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Seafarers.Pro and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of or inability to use the Service.
Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us during the twelve (12) months immediately preceding the event giving rise to liability.
The limitations in this section apply regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence or fraud.
11. Indemnification
You agree to indemnify, defend, and hold harmless Seafarers.Pro and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Your use of the Service in violation of these Terms;
Your Content, including any claim that your Content infringes third-party rights;
Your violation of any applicable law or regulation;
Any negligence or willful misconduct by you or your Users.
12. Term and Termination
These Terms remain in effect for the duration of your Subscription Period and will automatically renew for successive periods unless terminated in accordance with this section.
You may terminate your subscription by providing at least 30 days' written notice prior to the end of the current Subscription Period.
We may suspend or terminate your access to the Service immediately if:
You breach any provision of these Terms;
You fail to pay fees when due;
Your use of the Service poses a security risk or legal liability;
Required by applicable law or regulatory authority.
Upon termination, all licenses granted to you will cease, and you must immediately cease all use of the Service. Provisions that by their nature should survive termination will survive.
13. Service Level Agreement
We strive to maintain the Service available at all times, excluding scheduled maintenance and circumstances beyond our reasonable control.
We target 99.5% uptime measured monthly, excluding scheduled maintenance windows and force majeure events.
Scheduled maintenance will be conducted during low-usage periods with at least 48 hours' advance notice.
We do not guarantee uninterrupted access to the Service and shall not be liable for any downtime caused by factors outside our reasonable control.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
The affected party shall promptly notify the other party of the force majeure event and use reasonable efforts to mitigate its effects.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Seafarers.Pro is registered, without regard to its conflict of law provisions.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be addressed through good faith negotiations between the parties.
If the dispute cannot be resolved through negotiation within 60 days, either party may submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration institution in the jurisdiction of Seafarers.Pro's registration.
The arbitration shall be conducted in English, and the arbitral award shall be final and binding on both parties.
17. Amendments
We reserve the right to modify these Terms at any time. Material changes will be notified at least 30 days before they take effect through email, the Service, or our website.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
